The Most Insane Lawsuit in the Last 100 Years: Why OpenAI's Nonprofit Stake Is the Real Fight

Elon Musk gave somewhere between approximately $38 million and $45 million to OpenAI between 2015 and 2017. Elon's filings and public statements, but the figure closer to $45 million, OpenAI's verified disclosures in court documents put it closer to $38 million. Then in 2024 and 2025, the full restructure happens where the for-profit arm converts into a public benefit corporation under Delaware law, which is called OpenAI Group PBC. The non-profit, now renamed the OpenAI Foundation, retains an ownership stake reported at approximately 26% of the for-profit entity valued at around $130 billion at the time of conversion. Elon is seeking damages reportedly in the range of $134 to $150 billion. After the conversion, OpenAI's official position is that the renamed OpenAI Foundation still controls the PBC and also holds roughly 26% equity worth around $130 billion. Overall, this points to specialized systems and vertically integrated players shaping what comes next far more than surface narratives suggest.
